The subscription deadline was subsequently extended to October 27, 2026.

NGX Group Chairman, Alhaji Umaru Kwairanga, disclosed the cross-border initiative during engagements with the Egyptian Exchange, Ethiopian Securities Exchange and Botswana Stock Exchange.
He said the offer represented an opportunity to demonstrate how stronger financial cooperation could support African industrial development and broaden ownership of major businesses.

“The Dangote IPO is therefore more than a transaction involving a major Nigerian enterprise. It offers an opportunity to demonstrate how African industrial ambition can be supported by deeper financial cooperation and broader participation in ownership,” Kwairanga said.

He explained that the roadshow was designed to introduce the offer to investors across the continent and encourage participation in the refinery’s growth prospects.

Kwairanga described the refinery as one of the world’s largest and most modern petrochemical complexes, adding that its ongoing expansion could further strengthen its position in the global market.

NGX seeks integrated African capital market
The NGX chairman said the initiative also aligned with the broader objective of building an integrated African capital market capable of competing more effectively with markets in the West and Far East.

“Beyond selling the shares of a stable and profitable enterprise, we are also offering the promise of a bigger united African capital market that in the near future will compete effectively with the capital markets of the West and the Far East,” he said.

According to him, achieving the scale and liquidity required for global competitiveness would depend on the growth of large companies, stronger connections between national exchanges and easier access to investment opportunities across borders.

He also highlighted the African Continental Free Trade Area (AfCFTA) as a framework for expanding trade among African economies, arguing that capital markets must complement those efforts by improving access to financing for businesses operating across the continent.

“Our financial markets must complement this ambition by strengthening the channels through which capital can support businesses operating across the continent,” Kwairanga said.

Cross-border investment arrangements
Kwairanga said NGX Group decided to take the offer beyond Nigeria partly because of the international reach of Dangote Industries President and Chief Executive, Aliko Dangote, and growing interest from investors in Africa and other regions.

“We have therefore decided, along with the issuer, to visit a few select African countries and exchanges to formally introduce the Dangote Refinery FZE and discuss ways to facilitate cross-border investor participation in the IPO,” he said.

The latest initiative follows efforts to establish depositary receipt programmes in Kenya to facilitate participation in the share sale across national borders.

Such arrangements are intended to make it easier for investors to access securities issued in another market, potentially broadening the pool of investors available to companies seeking capital.

Kwairanga also referenced the African Union’s founding ambition of promoting cooperation across the continent, arguing that large-scale industrial projects could offer practical opportunities for African investors to participate in the region’s economic development.

He cited industrial developments in Nigeria, Ethiopia, Kenya and Namibia as examples of projects that could benefit from broader African investment.

The NGX chairman encouraged investors to participate in the refinery’s growth ambitions, describing the initiative as a step towards what he called “Africa’s People IPO”.

Dangote Refinery is offering 4.1 billion ordinary shares at N525 per share, putting the total value of the offer at approximately N2.15tn, equivalent to about $1.6bn.
The extension of the subscription deadline to October 27 provides additional time for prospective investors to consider the offer as the marketing campaign expands into more African markets.

The success of the cross-border initiative could help widen investor participation in the refinery while advancing NGX Group’s broader efforts to connect African exchanges and improve access to investment opportunities beyond domestic markets.

<div
